Terms of Service

Who these terms cover
These terms apply to the services provided by Zenix Consulting (Pty) Ltd, a company registered in South Africa. [Placeholder: add registration number.]
Engagements
Each engagement is governed by a separate written agreement that sets out the scope, deliverables, fees, and timeline. Where there is a conflict, the engagement agreement takes precedence over these terms.
Fees and payment
Fees are quoted in US dollars. Fixed scope projects are invoiced 50% on agreement and 50% on handover unless milestones are agreed. Retainers are billed monthly in advance with a three-month minimum. Hourly work is billed monthly in arrears. Invoices are due within 7 days.
Changes to scope
Changes to scope are handled in writing. We note the impact on cost and timeline and obtain your agreement before the work changes.
Your responsibilities
You agree to provide reasonable access to the people, systems, and information needed to deliver the work, and to respond to questions in a timely way.
Intellectual property
Deliverables created for you are transferred to you on full payment, except for pre-existing tools, templates, and methods we bring, which remain ours and are licensed to you for your internal use.
Confidentiality
We treat your information as confidential and will sign an NDA where appropriate. You agree to treat our methods, templates, and pricing as confidential.
Liability
Our liability is limited to the fees paid for the engagement that gives rise to the claim. We are not liable for indirect or consequential losses. [Placeholder: confirm limits with counsel.]
Termination
Either party may end an engagement with written notice. Fees for work done up to termination are payable. Retainers require the agreed notice period.
